In the commercial area, Harold acts on behalf of retailers, franchisors, and media and advertising companies. Recent transactions include drafting a new franchise agreement, premises licence agreement, trademark license agreement and disclosure document for a franchisor; advising on the proposed structure of an internet-based promotion involving snack foods, the NRL and the AFL, and drafting the terms and conditions for the website; drafting a private label distribution agreement involving the importation of electronic products manufactured overseas to local standards and with locally owned branding; and drafting a sub-distribution agreement for a foreign produced beer. Harold routinely advises on and acts on joint venture and shareholder agreements, sales and purchases of businesses, and a variety of commercial contracts. Harold has also acted on behalf of a number of professional athletes, entertainers and agents, including negotiating and drafting management and agent agreements, licence and endorsement agreements. Harold has acted on behalf of major landlords and tenants in a wide range of commercial leasing matters. His experience in commercial and retail leasing includes drafting and advising on agreements to lease, lease disclosure documents, retail leases, sub-leases, surrenders and assignments. Harold has assisted his property developer clients in all aspects of the development including structuring, financing, site acquisition, sub-division and sale of the developed project, including off-the-plan contracts. He also acts and advises in relation to option deeds and other property transactions. Harold has also acted in a number of water licence transactions.
