Stephen has wide and deep experience in commercial law with particular interests in structuring and restructuring, franchising and commercial agreements, revenue law, charity and not-for-profit law, and industrial, commercial and retail property including leasing.

His expertise includes –

Commercial

  • buying and selling businesses of all sizes, in many industries, through asset sale, share sale and other methods;
  • advising on business structure, issues faced by businesses, and solutions for those issues;
  • advising franchisors on designing franchise and other related systems, resolving intellectual property, security and other challenges in systems – and using those skills to act expertly for franchisees as well;
  • Commercial agreements of various types including trading terms and conditions, shareholder agreements and agreements for exploitation of intellectual property;

Revenue

  • analysis of complex GST issues (in conjunction with specialist consultants) in the context of major property and commercial transactions
  • duty advice, submissions, applications for exemption and objections

Not-for-profit and charities

  • advising substantial not-for-profits and charities on their commercial law, structuring and other issues – including advising about tax concession and DGR status, and capital and recurring grants – and using that knowledge to assist developing charities as well;
  • advising a major religious denomination about internal structuring issues, disciplinary procedures, and relationships between their internal elements;

Property

  • negotiating for the sale and purchase of commercial, industrial and retail property
  • advising and negotiating for landlord and tenant in relation to all aspects of commercial, industrial and retail leasing
