Personal Experience
With over 20 years experience as a legal practitioner, a Bachelor of Commerce and a Graduate Diploma in Legal Practice, Tania Schiff joined Hunt & Hunt in 2020 following the Cappello Rowe merger.
Tania’s experience and communication ability saw her achieve a career milestone with her management of a US$50 million foreign acquisition and a recent $10 million sale of a tech business.
Matters
Examples of Tania’s work include:
Corporate
- Provision of advice on corporate matters for private and public companies, including compliance with the Corporations Act and the ASX listing rules;
- Drafting Notices of Meeting, proxies, and Minutes of Meeting;
- Preparation of Prospectus, (including for Initial Public Offerings), Information Memorandum, Rights Issue documents;
- Draft and review ASX announcements;
- Liaising with ASIC and ASX on compliance matters, including applications for waiver;
- Provision of Company secretarial services for clients, with experience, and established relationships in foreign jurisdictions;
- Undertaking due diligence ;
- Provision of advice on all aspect of client’s business as matters arise;
- Preparation of template documents for clients, including terms and conditions of sale, and employment offers;
- Preparation of corporate policy documents including treatment of confidential information, and employee handbooks;
- Negotiating resolution of disputes on behalf of clients;
Commercial
- Carriage of a number of significant mergers and acquisitions, involving local and foreign assets and companies, and listed and unlisted entities, particularly focused in the resources sector;
- Drafting , reviewing, structuring and advising on agreements (including joint venture agreements; farm out agreements, joint operating agreements, licensing agreements; confidentiality agreements; options; loan and security documents; executive, employee, and consultancy agreements; mortgages, leases, deeds of settlement, release and indemnity);
- Carriage of property transactions including conveyancing and leasing.
